Definitions and Interpretations used in these General Conditions

References to “we” or “us” mean iChoosr Ltd., a private limited liability company established at 58-59 Great Marlborough Street, London, W1F 7JY, Companies House number 8241539.

“Community Leader” means a co-organiser of the Collective Purchase scheme, as mentioned at the top of the Site.

“Collective Purchase” means a reverse auction in which Installers/Suppliers bid to offer products or services to Participants who may choose to enter into a direct agreement with the winning Installers/Suppliers.

“Participant” means a (legal) person whose enrolment for Collective Purchase schemes is confirmed by iChoosr.

“Installer” or “Supplier” means an installer/supplier offering the product or service for Collective Purchase.

“Winning Bid(s)” means the bid(s) selected by iChoosr during the auction.

Anything expressed to be in “writing” shall mean letter, email or fax correspondence and permissions indicated by electronic submission via the internet.

Introduction

1. These General Conditions along with our Privacy Policy apply when you register on or use our website and affiliated websites including but not limited to the websites designed for Collective Purchase schemes organised by iChoosr (the “Sites”), as well as when you register through a Community Leader (i.e. council, council-appointed third party, union, housing association, charity, membership organisation, etc.) to take part in a Collective Purchase scheme. By accessing and using this Site as well as our offline services (such as any paper-based offers), you agree to be bound by and to act in accordance with these General Conditions and our Privacy Policy. If you do not agree, you are not permitted to access and use this Site or our offline service, and you should cease such access and/or use immediately.

2. We provide an independent online and offline (paper-based) service, which allows you to receive offers from Installers/Suppliers of products and/or services we consider appropriate, based on the results of a reverse auction. This service is free for you to use. Nothing on this Site or in our written personal communication is, or shall be deemed to constitute a recommendation or endorsement by us in respect of any Installer, product or service referred to on this Site. While we take every care to provide you with accurate information, information on this Site, as well as information sent to you by written personal communication, is provided for general information purposes only. It should not be considered as advice or relied upon for making decisions. The information is intended solely to help you assess whether you are interested in entering into a direct contract with an Installer/Supplier.

3. You should always check the suitability, adequacy and appropriateness of the product or service that interests you. It is your sole responsibility to decide whether to obtain or refrain from obtaining any product or service. If you are in any doubt, we recommend seeking independent professional advice before entering into a direct contract with an Installer/Supplier.

Conditions of use by the Participant

4. By registering on the Site, the Participant confirms that they have read and accepted the General Conditions and the Privacy Policy.

5. Enrolment and registration on the Site and through council or council-appointed third parties are free. iChoosr reserves the right to refuse enrolments or remove registrations/participants. Enrolment or registration is not a guarantee that the Installer/Supplier can provide the Participant with an offer. Installers/Suppliers have a limited supply, and their terms and services are provided to the Participants on a first come first served basis.

6. The Participant must be at least 18 years old and live at an address which can be verified by iChoosr, or be a company limited by shares or by guarantee, or a recognised community organisation or council entity.

7. The Participant guarantees that the information provided by them is correct and agrees to notify iChoosr in writing of any changes. If the winning Installer has already been disclosed, the Participant must also inform the Installer/Supplier of such changes. If the Participant causes damage by providing incorrect information, they will be liable for any resulting losses.

8. The Participant can be excluded by iChoosr from any of its Collective Purchase schemes if, in iChoosr’s reasonable opinion, the Participant provides insufficient or incorrect information.

9. The Participant warrants that there are no facts or circumstances preventing them from lawfully participating in any Collective Purchase schemes.

Limitation of Liability

10. The products and services offered through this Site or through a council or council-appointed third party are not provided by iChoosr, but by third parties (the Installers/Suppliers) over whom iChoosr has no control.

11. The contractual relationship between the Participant and the Installer/Supplier is defined by the agreement between you and the Installer. It is your responsibility to ensure you are satisfied with the terms before entering into an agreement, and we strongly recommend that you read the agreement carefully.

12. iChoosr is not liable for any consequences arising from the contractual agreement between the Participant and Installer/Supplier as a result of the Collective Purchase programmes.

13. Subject to Clause 14 below, iChoosr is not responsible or liable for any loss or damage you may incur in connection with any product or service you obtain through this Site, our offline services, or via a council or council-appointed third party, including any acts, omissions, errors or defaults by third parties.

14. Nothing in these General Conditions excludes or limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

15. Due to the technical characteristics of the internet, telephony and post, it is not possible to exclude the possibility of interruptions in access to the Site, helpdesk accessibility, server defects, or in general, a delay in the transmission of information, due to maintenance, or other technical issues. The Participant shall have no (legal) rights in connection with such interruptions or delays.

16. iChoosr cannot be held liable for any defects, loss or damage resulting from intrusions into its computer system, or to the presence of a virus, or faults, which may affect certain functions of the Site.

Force Majeure/Act of God

17. If, due to circumstances beyond its control (Force Majeure/Act of God), or events not attributable to iChoosr, it is hindered from completing part or all of its activities, iChoosr has the right to suspend execution of those activities.

18. Force Majeure/Act of God includes all external events that are reasonably unforeseen and prevent iChoosr from fulfilling its obligations to the Participant. This includes, but is not limited to, disruptions in internet connection, telecommunications infrastructure, strikes, fire and other business disruptions.

Privacy

19. iChoosr is committed to protecting your privacy and takes this matter very seriously. Please see our Privacy Statement to understand how we use the personal data you provide to us on this Site or through a council or council-appointed third party.

General Clauses

20. These General Conditions and any disputes arising out of or in connection with them are subject to English law.

21. iChoosr reserves the right to amend these General Conditions. Amendments enter into effect 24 hours after they have been published on the Site.

22. Complaints regarding the conclusion and/or execution of the contract between the Participant and the Installer may be submitted in writing to iChoosr by the affected party. iChoosr will address the complaint to the best of its ability and may exclude the responsible party from participating in future Collective Purchase schemes

23. If any provisions of these General Conditions are found to be null and void, or ineffective in law or otherwise, the validity and force of the remaining provisions will not be affected.
